Event Cinemas, Greater Union Birch Carroll & Coyle (GU/BCC/EVENT) CINE BUZZ Club Terms and Conditions of Membership

1. Introduction:

1.1 These Terms and Conditions form the basis of the AHL Seniors Club Online program. They are intended to protect both Members and AHL. It is a Member’s responsibility to read and understand them. We ask that you read them carefully.

1.2 These Terms and Conditions are effective as at 01/02/10 and may be amended from time to time. Members should refer to www.seniorsclubonline.com.au for the current Terms and Conditions.

1.3 Every Member is subject to these Terms and Conditions

2. Definitions

In these Terms and Conditions, the following words and expressions shall have the meanings as defined below unless the context otherwise requires:

“AHL” means Amalgamated Holdings Limited, The Greater Union Organisation Pty Ltd, Birch Carroll & Coyle Limited, Rydges Hotels Ltd, Kosciuszko Thredbo Pty Ltd, Featherdale Farm & Aviaries Pty Ltd and any of their related companies that own or operate any of the Participating Cinemas or Participating Hotels or which provide benefits to Members as part of the Program.

"Card" means a card issued by AHL to identify the Member as a participant of the Program and to enable a Member to utilise the benefits and privileges of the Program.

“Free Breakfast” means a standard full buffet breakfast offered at the restaurant, café or bar of a Participating Hotel serving breakfast on a day of the applicable hotel stay by the Member. The Free Breakfast does not apply to in-room, room service breakfast.

"Free Movie" provides for the Member to receive a complimentary movie ticket, subject to availability, to a Standard Session at no cost at any Participating Cinema.

"Gold Class Session" means any session screened in a Gold Class auditorium, where Gold Class pricing applies.

"Member"means a person who has been admitted by AHL as a participant in the Program and is being recognised as a participant for the time being.

"Membership" means the participation of a Member in the Program.

"Participating Cinemas"means the cinemas designated by AHL from time to time as "Participating Cinemas" for the purpose of the Program, as specified on the website www.seniorsclubonline.com.au. This excludes Beverly Hills & Cronulla cinemas

"Participating Hotels" means the hotels designated by AHL from time to time as "Participating Hotels" for the purpose of the Program, as specified on the website www.seniorsclubonline.com.au.

"Program" means the Seniors Club On-line Program operated by AHL.

"Program Partner" means an entity with which AHL has entered into an agreement to provide Members’ goods and/or services under an arrangement especially for Program Members.

"Standard Session" eans any movie session in a standard auditorium but expressly excluding Gold Class, Vmax, Silverscreen, Movie Marathons, 3D sessions, alternate content and/or any other special event determined by AHL to be a special event.

"Terms and Conditions" means the terms and conditions of the Program as set out here and as may be changed from time to time by AHL, at its discretion.

“Vmax Session” mmeans any session screened in a Vmax auditorium, where Vmax pricing applies

3. Membership cost

3.1 Membership of the GU/BCC/Event Cinemas Seniors Club Program is free of charge.

4. Membership eligibility

4.1 Membership of the Program is open to individuals residing in Australia of 60 years of age or older. Members will be required to provide their date of birth at the time of application and proof of age if requested by an employee of AHL when seeking to receive Membership benefits.

4.2 To be a Member, the Member must have a valid email address.

4.3 Membership eligibility of the Program is at the sole discretion of AHL.

4.4 Membership can only be held by an individual. Membership is not open to families, groups, companies, trusts, partnerships, other entities, government departments or agencies. Individual employees of a corporation or other entity can be enrolled as individual members.

4.5 Employees of AHL are not eligible to participate in the Program.

5. Membership card

5.1 The Program has its own distinctive Membership Card. Members should keep their Card secure.

5.2 The Membership Card is not transferable and must not be given to other individuals to secure benefits from the Program.

5.3 The Membership Card remains at all times the property of AHL.

5.4 The Membership Card should be presented at the box office of a Participating Cinema or any other places specified by AHL from time to time with regard to any particular offer when seeking to secure a Member benefit.

5.5 If the Membership Card is lost or stolen the Member must immediately advise AHL. In the first instance AHL will replace the card at no cost. Thereafter the Member may be charged a replacement fee of $10 at AHL’s discretion.

5.6 AHL shall be entitled to assume that any person that purports to be a Member and provides (whether in person or through any electronic, telecommunications or other media) the Membership number to AHL is in fact the Member. AHL shall be entitled to reveal to any such person any and all information relating to their Membership and Membership bookings and treat and act on any request of such a person with respect to any other matter regarding the Program without taking any further steps to verify the identity of the person.

6. Period of Membership

6.1 The period of Membership for the Program is from the date of enrolment by the Member until terminated by either the Member or AHL.

7. Activation of membership and use of membership card

7.1 AHL may provide individuals in person or by postal mail with a Membership Card. If those individuals wish to secure the benefits of the Program they will need to go online at www.seniorsclubonline.com.au and provide certain required information in order to activate their Membership. Once this process is complete, points can be redeemed as per the Program terms & conditions.

7.2 The Member should quote their Membership number as shown on their Membership Card and or show their Membership Card if requested by any AHL staff member when seeking the benefits of the Program.

7.3 Use of the Membership number and/or Membership Card to secure benefits of Membership signifies acceptance of these Terms and Conditions.

8. Program benefits

8.1 AHL does not guarantee or warrant that any or all of the benefits or privileges of the Program will be available at all times. AHL reserves the right to change, modify, limit or cancel any of the Program benefits at any time without prior notice. This includes increasing or decreasing any requirements for a reward or redemption eligibility, changing the value of rewards/redemptions or limiting the availability of rewards/redemptions. This also includes changing the list of Participating Cinemas or Participating Hotels or Program Partners covered by the Program.

8.2 Cinema benefits:

8.2.1 Each Member can purchase a single $8 ticket to attend any Standard Session at Participating Cinemas, but expressly excluding Standard Sessions after 5pm on Saturdays. Members who purchase a ticket for a Standard Session after 5pm on Saturdays at normal prices may be eligible for other benefits of Membership as determined by AHL from time to time.

8.2.2 Booking fees apply in relation to any online ticket purchases. The Member must pay the relevant online booking fee in addition to the $8 Seniors Club Online ticket price applicable to the Program.

8.2.3 Points Earning in cinema: Members will earn 10 bonus Seniors Club Online starter points at the time of full activation of their Membership. Members will earn 10 points for each paid ticket per session. The ticket purchased must be used by the Member. From time to time AHL may offer bonus points for any particular movie, session, cinema or any combination thereof. There is a limit of 40 points that can be earned in one day by a Member attending up to four sessions in that day. The price of the paid ticket has no bearing on the amount of points the Member will earn. Points earned through purchasing tickets will not be credited to the Member’s account until up to 24 hours after the screening. Points cannot be transferred to another Member and are not redeemable for cash.

8.2.4 Points Usage (Burning): Members can redeem 100 Seniors Club Online points for 1 Free Movie ticket to a Standard Session at Participating Cinemas. Members will not normally be entitled to redeem points for tickets to non Standard Sessions. However, AHL may from time to time chose to offer reduced points redemption for certain movies, sessions, cinemas or any combination thereof as determined by AHL. Points will be removed from the Member’s account at the time of booking or redemption. There are no blackout periods for redemption of Free Movies and all Standard Sessions have some Free Movie Member redemption tickets available. However, some sessions have a limited number of the Free Movie Member tickets available for redemption and once these have been allocated, others will not be made available for redemption. Members may at certain times be able to redeem points for other items as specified by AHL. Free Movie tickets can only be booked online at www.eventcinemas.com.au. Membership points will expire 2 years after being earned. This will be assessed twice yearly (1st May & 1st November).

8.2.5 Other in-cinema Promotions: Members may be eligible for other offers related to Participating Cinemas that are promoted from time-to-time by AHL. Such promotions will be subject to the specific terms and conditions of each individual promotion which may vary from time to time and can be viewed at www.seniorsclubonline.com.au. If AHL staff request, Members will be required to present their Membership Card as proof of eligibility for any such promotions.

8.3 Hotel benefits

8.3 1 Members who have made a booking on a “Rydges Best Rate”, or a “Rydges PriorityGUEST Member Rate” via www.rydges.com, Central Reservations or directly with the Hotel are entitled to a complimentary full buffet breakfast in the hotel, for a maximum of two people, for each night stay in the hotel. Members will be required to present their membership card at time of check-in to organize their free breakfast associated with their Seniors Club On-line membership. Members will be required at meet the terms and conditions set out on the breakfast voucher to be eligible for this benefit. This offer is valid only at Rydges Hotels & Resorts in Australia & New Zealand excludes Capitol Square Hotel Sydney, Art Series Hotels and Thredbo Alpine Hotel. Free Breakfast offer not valid when staying with tour group bookings, residential conference groups, GDS & Travel Agent bookings or reservations received via any Third Party website. 8.3.2 Other hotel benefits: Members may be eligible for other offers or promotions related to Rydges Hotels and Resorts that are promoted from time-to-time by AHL. Such offers or promotions will be subject to the specific terms and conditions of each individual offer or promotion which may vary from time to time and may be viewed at www.seniorsclubonline.com.au. If AHL staff request, Members will be required to present their Membership Card as proof of eligibility for any such offers or promotions.

8.4 Other program benefits

8.4.1 Members may be eligible for other offers or promotions related to other AHL businesses including Thredbo, Featherdale Wildlife Park and the State Theatre Sydney from time-to-time. Such offers or promotions will be subject to the specific terms and conditions of each individual offer or promotion which may vary from time to time and may be viewed at www.seniorsclubonline.com.au. If AHL staff request, Members will be required to present their Membership Card as proof of eligibility for any such offers or promotions.

8.4.2 Members may be eligible for other offers or promotions related to a Program Partner. Such offers or promotions will be subject to the specific terms and conditions of each individual offer or promotion which may vary from time to time as specified by the Program Partner or notified online at www.seniorsclubonline.com.au. If AHL or Program Partner staff request, Members will be required to present their Membership Card as proof of eligibility for any such offers or promotions.

9. Required method(s) of cinema bookings/purchases to receive program benefits

9.1 In order to ensure that Member bookings can be tracked to deliver Program benefits, Members must purchase their tickets for Standard Sessions at Participating Cinemas by either purchasing online at www.eventcinemas.com.au, including their Membership number in the booking, or at the Participating Cinema’s box office or candy bar, presenting their Membership Card to the cashier at the beginning of the transaction.

9.2 Members may only book Free Movie redemption tickets online at www.eventcinemas.com.au. They must enter their Membership Number and follow the prompts associated with online redemption bookings.

10. Relationship with other AHL loyalty programs

10.1 Members who earn points on movie purchases using their Membership Card will earn points in this Program. However, Members will not also earn points on a Cinebuzz membership.

10.2 Members of the Cinebuzz cinema loyalty program will automatically have their membership upgraded to a Seniors Club Online membership when they turn 60 years of age. At this time any points they hold in their Cinebuzz membership will be transferred in full to their Seniors Club Online Membership and their Cinebuzz membership will lapse. As Members of Seniors Club Online they will automatically have access to all the benefits of the Seniors Club Online from that point.

10.3 Seniors Club Online Members may also be a member of the Rydges Priority Guest Program and may earn points and receive other benefits in the Rydges Priority Guest program associated with any eligible stay at a Participating Hotel.

11. Misuse and termination of membership

11.1 AHL reserves the right to terminate the Membership, including forfeiture of rewards, of any Member at any time without providing any reason or giving any notice.

11.2 Any fraud, misuse or abuse concerning the Membership, the Membership Card and/or privileges and benefits relating to the Program will be subject to appropriate administrative and/or legal action by AHL.

11.3 Nothing in these Terms and Conditions of Membership shall limit AHL in the exercise of any legal or equitable rights and remedies.

11.4 Subject to applicable laws, AHL will not be liable for any loss or damage whatsoever suffered by any Member as a result of such the termination, suspension or cancellation of their Membership for any reason. suspension or cancellation.

12. Local laws and possible tax liability

12.1 The Program and the Member’s entitlements to any benefits under the Program are subject to all laws applicable to AHL and to the Member which restrict, prohibit or limit the scope or extent of the Program or any benefits or privileges.

12.2 Rewards under the Program may be subject to tax liability. Any tax liability, including disclosure, connected with the receipt or use of the programs is the responsibility of the Member.

12. Reserved right to amend the program

12.1 GU/BCC/EVENT Cinemas Limited reserves the right to amend or alter the Terms and Conditions of the GU/BCC/Event Cinemas Seniors Club Program at any time. All interpretations of these Membership rules and regulations and conditions shall be at the sole discretion of GU/BCC/EVENT Cinemas Limited.

13. Governing Law and jurisdiction

13.1 AHL reserves the right to amend or alter the Terms and Conditions of the Program at any time without reason and at its sole discretion. All interpretations of these Membership rules and regulations and conditions shall be at the sole discretion of AHL.

13.2 Nothing in these Terms and Conditions affects any rights a Member may have and which by law cannot be excluded, including under the Trade Practices Act (1974).

14. Governing Law and jurisdiction

14.1 The Terms and Conditions of Membership of the Program are governed by and will be construed in accordance with the laws of New South Wales, Australia irrespective of where the application for Membership has been completed by the Member and submitted to AHL. In any action or other legal process with respect to any matter or thing in connection with these Terms and Conditions or Membership, the Member submits to the non-exclusive jurisdiction of the courts of State of New South Wales.

14.2 Nothing in these Terms and Conditions affects any rights a Member may have and which by law cannot be excluded, including under the Trade Practices Act 1974 (Cth).

14.3 If part or all of any clause in these Terms and Conditions is illegal, invalid or unenforceable then it will be read down to the extent necessary to ensure that it is not illegal, invalid or unenforceable, but if that is not possible, it will be severed from these Terms and Conditions and the remaining provisions of these Terms and Conditions will continue to have full force and effect.
